Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 28, 2015, Mr. Kirkland resigned as a member of the Board of Directors (the “Board”) of the SG Blocks, Inc. (the “Company”) and from all committees of the Board on which he served. Prior to his resignation, Mr. Kirkland served on the Compensation Committee and the Audit Committee and served as the Company's “audit committee financial expert.” The Company has not identified a new audit committee financial expert. Mr. Kirkland’s resignation was not a result of any disagreement with the Company or its executive officers, or any matter relating to the Company’s operations, policies or practices.
On September 28, 2015, Mr. Bell resigned as a member of the Board. Mr. Bell’s resignation was not a result of any disagreement with the Company or its executive officers, or any matter relating to the Company’s operations, policies or practices.
