Item 1.01. Entry into a Material Definitive Agreement.

 

On December 10, 2019, SG Blocks, Inc., a Delaware corporation (the “Company”), entered into an underwriting agreement (the “Underwriting Agreement”) with ThinkEquity, a division of Fordham Financial Management, Inc., as representative of the underwriters (the “ThinkEquity”), pursuant to which the Company agreed to sell to the underwriters in a firm commitment underwritten public offering (the “Offering”) an aggregate of 17,150,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), at a public offering price of $0.15 per share. The 17,150,000 shares of Common Stock issued and sold in the Offering includes 2,150,000 shares sold pursuant to the exercise in full by the underwriters of their over-allotment option. The Offering closed on December 13, 2019.

  

The shares of Common Stock were offered by the Company pursuant to a registration statement on Form S-1 (File No. 333-235295), as amended, filed with the Securities and Exchange Commission (the “Commission”), which was declared effective by the Commission on December 10, 2019 (the “Registration Statement”).

 

The net proceeds to the Company from the Offering, after deducting the underwriting discount, the underwriters’ fees and expenses and the Company’s estimated Offering expenses, are expected to be approximately $2.04 million. The Company anticipates using the net proceeds from the Offering as follows: (i) $480,770 to repay the outstanding principal amount of an outstanding debenture (the “Debenture”); (ii) $750,000 to fund its obligation to its licensee; and (iii) the remaining net proceeds for general working capital purposes.

 

The Underwriting Agreement contains customary representations and warranties that the parties made to, and solely for the benefit of, the other party in the context of all of the terms and conditions of that agreement and in the context of the specific relationship between the parties. The provisions of the Underwriting Agreement, including the representations and warranties contained therein, are not for the benefit of any party other than the parties to such agreements and are not intended as documents for investors and the public to obtain factual information about the current state of affairs of the parties to those documents and agreements. Rather, investors and the public should look to other disclosures contained in the Company’s filings with the Securities and Exchange Commission.

 

The Company and ThinkEquity also entered into a waiver agreement (“Waiver of Warrant”) pursuant to which ThinkEquity surrendered its rights to a warrant previously issued to ThinkEquity on November 12, 2019 to purchase 108,086 shares of the Company’s common stock as compensation for acting as placement agent for the private placement of the Debenture.
