On June 17, 2020, James C. Potts informed SG Blocks, Inc. (the “Company”) that he will not stand for re-election to the board of directors of the Company (the “Board”) at the Company’s 2020 Annual Meeting of Stockholders (the “2020 Annual Meeting”). Mr. Potts’s decision was not based on any disagreement with the Company or management. Mr. Potts has been a member of the Board since December 2018 and will remain a director until the 2020 Annual Meeting.
